1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

  • "Ruangrit", "we", "us", "our" โ€” Ruangrit Business Consulting, operating from 42/7 Soi Ari 1, Phaya Thai, Bangkok 10400, Thailand.
  • "Services" โ€” advisory and consulting services offered by Ruangrit, including Startup Structuring Guidance, Change Navigation Program, and Legacy Business Renewal, as described on our website and in individual engagement agreements.
  • "Client", "you", "your" โ€” any individual or organisation that contacts us, uses our website, or enters into an engagement agreement with Ruangrit.
  • "Website" โ€” the Ruangrit website accessible at https://ruangrites and all associated pages.
  • "Engagement Agreement" โ€” the written scope document agreed between Ruangrit and a client prior to the commencement of any advisory service.
  • "Content" โ€” all text, documents, materials, and deliverables produced by Ruangrit in the course of an engagement.

2. Acceptance of These Terms

By using our website or submitting an enquiry through our contact form, you acknowledge that you have read and understood these Terms and Conditions and agree to be bound by them.

By entering into an Engagement Agreement with Ruangrit, you further agree to the terms specific to the advisory service you have engaged, as set out in that agreement.

Use of our website and services is permitted only to individuals who are at least 18 years of age and have the legal capacity to enter into binding agreements.

3. Description of Services

Ruangrit provides business consulting and advisory services to organisations and founders operating in Thailand. Our current advisory pathways are:

  • Startup Structuring Guidance โ€” a 3-week intensive engagement covering entity formation considerations, team structure, and initial market positioning.
  • Change Navigation Program โ€” an 8-week engagement for organisations managing significant transitions, including stakeholder mapping, communication planning, and phased implementation guidance.
  • Legacy Business Renewal โ€” a 14-week deep engagement for established enterprises, covering brand equity, modernisation strategy, leadership succession, and cultural preservation, with one year of quarterly advisory check-ins post-engagement.

All services are provided in accordance with the scope and terms agreed in writing at the commencement of each engagement. Ruangrit does not provide legal, accounting, tax, or financial advice. Where such specialist advice is indicated during an engagement, we will recommend that you seek it independently.

4. User Responsibilities

When using our website or engaging our services, you agree to:

  • Provide accurate and complete information in all communications and enquiries.
  • Not use our website for any unlawful purpose or in any manner that could damage, disable, or impair it.
  • Not attempt to gain unauthorised access to any part of our website or systems.
  • Not reproduce, distribute, or commercially exploit any content from our website without prior written consent.

During active advisory engagements, you also agree to provide us with timely access to information and personnel reasonably required to deliver the agreed scope, as detailed in the Engagement Agreement.

5. Intellectual Property

All content on the Ruangrit website โ€” including text, design, and structure โ€” is owned by or licensed to Ruangrit and is protected by applicable intellectual property laws. You may not reproduce or use it without written permission.

Deliverables and written materials produced during an advisory engagement (such as strategy documents, playbooks, and frameworks) become the property of the client upon full payment of all engagement fees. Ruangrit retains the right to use internal methodologies and frameworks that do not incorporate confidential client information in other engagements.

6. Payment Terms

All fees are fixed-scope engagement fees agreed in writing before work commences. Fees are denominated in Thai Baht (เธฟ) and are payable as specified in the Engagement Agreement โ€” typically a deposit prior to commencement and the balance upon completion.

Payment is accepted by bank transfer to Ruangrit's nominated account. Invoices are issued in accordance with Thai accounting requirements.

If full payment is not received by the agreed date, Ruangrit reserves the right to pause the engagement until payment is received. In cases of persistent non-payment, Ruangrit may terminate the engagement and pursue outstanding fees through appropriate legal channels in Thailand.

7. Refund Policy

Deposits paid prior to engagement commencement are non-refundable unless Ruangrit is unable to proceed with the engagement due to circumstances within our control.

If an engagement is terminated after commencement, fees will be apportioned to reflect work completed up to the termination date. Any overpayment will be refunded within 30 days. Disputes regarding apportionment will be handled in accordance with Clause 13 of these Terms.

8. Confidentiality

Ruangrit treats all information shared during enquiries and engagements as confidential. We do not disclose client information to third parties except as required by law or as described in our Privacy Policy.

A formal mutual confidentiality agreement (NDA) is entered into as part of every Engagement Agreement. The terms of that agreement govern the handling of confidential information during and after the engagement.

9. Disclaimers

Ruangrit provides advisory services based on our experience and reasonable professional judgement. However, we do not represent or warrant that any specific business outcome will result from our advisory work. Business decisions and their consequences remain the responsibility of the client.

Our website is provided "as is". While we take reasonable care to keep information current, we make no warranty as to the accuracy or completeness of website content, and we are not liable for any reliance placed on it.

10. Limitation of Liability

To the fullest extent permitted by Thai law, Ruangrit's aggregate liability to any client arising from or in connection with an engagement shall not exceed the total fees paid by that client under the relevant Engagement Agreement.

We are not liable for any indirect, consequential, or special damages arising from the use of our services or website, including but not limited to loss of profit, loss of business, or loss of anticipated savings.

11. Termination

Either party may terminate an engagement by providing written notice, subject to the terms of the Engagement Agreement. Upon termination, any fees for work completed are payable as described in Clause 7.

Ruangrit reserves the right to terminate an engagement immediately if the client engages in conduct that is unlawful, materially misrepresents information, or breaches confidentiality obligations. Clauses 5, 8, 9, 10, and 13 survive termination.

12. Changes to These Terms

We may update these Terms and Conditions from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Changes apply to new enquiries and engagements commenced after the effective date. Existing Engagement Agreements in progress are governed by the version of these Terms in effect at the time of signing.

13. Governing Law & Dispute Resolution

These Terms and Conditions and any engagement agreements entered into under them are governed by the laws of Thailand. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally through direct communication. Where informal resolution is not achieved within 30 days, either party may proceed to formal legal channels.
